These Terms include important provisions including a limitation of liability, an indemnification obligation, a mandatory arbitration clause for US residents (Section 25), a class-action waiver, content licenses for any User Content you upload (Section 7), MediFinder's right to introduce or modify fees applicable to both users and Providers (Section 9), and rights to terminate inactive accounts (Section 16). Please read carefully. By using MediFinder, you agree to be legally bound by these Terms.
1. Acceptance of Terms
These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you", "User", or "Provider") and Yeshan Healthtech, LLC, a Florida (United States) limited liability company doing business as "MediFinder" ("MediFinder", "we", "our", or "us"), governing your access to and use of:
- The MediFinder website at medifinder.com
- Our mobile applications (iOS and Android)
- APIs, widgets, embeds, and other digital products
- Customer support and any related services
Collectively, these are referred to as the "Services". By creating an account, accessing, browsing, uploading content, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, our Community Guidelines, and our Content & Copyright Policy.
If you are using the Services on behalf of an organization (such as a clinic or hospital), you represent and warrant that you have the authority to bind that organization, and "you" includes both you personally and that organization.
2. Eligibility
- Be at least 16 years old (or the applicable digital-consent age in your country; not less than 13 in the United States with verifiable parental consent)
- Have the legal capacity to enter into binding agreements
- Not be prohibited from receiving services under applicable laws (including US export controls and sanctions)
- Provide accurate, current, and complete information during registration
Providers must additionally hold all licenses, registrations, and qualifications required by the law of the jurisdiction where they practice.
3. Nature of the Services
MediFinder is a healthcare discovery and community platform. The Services include:
- Search and discovery of healthcare providers worldwide across 16 languages
- Provider profiles with credentials, services, location, and contact information
- Consultation Request routing to selected providers
- Community forum for patients and users to share experiences
- User Content upload (text, photos, videos, audio) where features are enabled
- Information about treatments, specialties, and medical tourism destinations
- Provider account and management features
3.1. What MediFinder Is NOT
- A healthcare provider, hospital, clinic, or pharmacy
- A telemedicine or telehealth platform
- An insurance company or insurance broker
- A licensed medical advisor or referral service
- A party to the relationship between you and any healthcare provider
3.2. No Medical Advice; No Doctor-Patient Relationship
MEDIFINDER DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, TREATMENT, PRESCRIPTIONS, OR ANY OTHER PROFESSIONAL MEDICAL SERVICES. USE OF THE SERVICES DOES NOT CREATE A DOCTOR-PATIENT RELATIONSHIP BETWEEN YOU AND MEDIFINDER.
Always consult a qualified healthcare professional. In a medical emergency, call your local emergency services immediately (911 in the United States, 112 in the EU and Turkey).
3.3. MediFinder's Discretion Over Service Operation
MediFinder retains sole and absolute discretion over all aspects of Service operation, including but not limited to: features available, search result ranking and ordering, provider visibility, content moderation decisions, design and user interface, geographic availability, and any other operational decisions. We may add, modify, remove, or discontinue any feature at any time.
4. Your Account
4.1. Account Creation
- You may need to create an account to access certain features
- You must provide accurate, current, and complete information
- You must update your information promptly when it changes
- Each user may maintain only one personal account, unless otherwise authorized
4.2. Account Security
- Maintaining the confidentiality of your account credentials is your responsibility
- You are responsible for all activities under your account
- Notify us immediately at [email protected] of any unauthorized access
4.3. Account Closure
- Your access to the Services will terminate
- Your personal data will be handled in accordance with our Privacy Policy
- For Providers: your Claimed Profile will revert to Unclaimed status
- Legal retention obligations may require us to keep some data for a defined period
5. User Conduct and Acceptable Use
Your use of the Services is also governed by our Acceptable Use Policy. In summary, you will NOT:
- Violate any applicable law, regulation, or third-party right
- Impersonate any person or entity, or misrepresent your affiliation
- Post or transmit any content that is unlawful, defamatory, fraudulent, obscene, hateful, harassing, or otherwise objectionable
- Post Personal Data or Health Data of any other person without their valid, documented consent
- Upload content depicting minors without documented parental/guardian consent
- Provide false, misleading, or inaccurate information about medical credentials, qualifications, or services
- Engage in any form of medical advice provision unless you are a verified, licensed Provider
- Spread health misinformation that could endanger lives
- Use the Services for unsolicited marketing, spam, or commercial solicitation
- Scrape, harvest, mine, or extract data from the Services using automated tools (including for AI model training) without our express written consent
- Use the Services or any User Content to train, fine-tune, or develop machine learning or artificial intelligence models without our express written license
- Attempt to circumvent any security or access control mechanism
- Upload viruses, malware, or any malicious code
- Interfere with or disrupt the Services or servers
- Use the Services to develop a competing product or service
- Encourage others to do any of the foregoing
Detailed prohibited conduct is enumerated in our Acceptable Use Policy. Violations may result in immediate content removal, account suspension, or permanent termination at our sole discretion.
6. Content Moderation Discretion
WE RESERVE THE RIGHT TO SCREEN, MONITOR, REVIEW, REMOVE, EDIT, RESTRICT, SUSPEND, OR REINSTATE ANY USER CONTENT AT OUR SOLE AND ABSOLUTE DISCRETION, FOR ANY REASON OR NO REASON, WITH OR WITHOUT NOTICE TO YOU.
This includes, without limitation, the right to:
- Remove content that violates these Terms, our Acceptable Use Policy, Community Guidelines, Content & Copyright Policy, or applicable law
- Remove content that we deem objectionable in our sole judgment, regardless of whether it violates a stated rule
- Reduce the visibility, search ranking, or distribution of any content without removing it
- Apply labels, warnings, or context to content
- Disable links, embedded media, or other functions of content
- Use automated systems and human reviewers to detect and act on prohibited content
Content moderation decisions may be appealed by emailing [email protected] with subject "Appeal Request". EU users have additional rights under the Digital Services Act.
7. User Content License
7.1. You Retain Ownership
As between you and MediFinder, you retain all ownership rights in the User Content you submit to the Services.
7.2. License You Grant to MediFinder
By submitting, uploading, posting, or otherwise providing User Content to or through the Services, you grant Yeshan Healthtech, LLC (and its successors, assigns, and authorized service providers) a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, cache, reproduce, copy, modify, adapt, translate, create derivative works of, publish, transmit, distribute, publicly perform, publicly display, and otherwise exploit the User Content in connection with operating, providing, promoting, marketing, and improving the Services, in any media now known or later developed.
7.3. Permitted Uses Under the License
- Hosting, displaying, and distributing your content within the Services
- Caching and indexing for performance
- Format adaptation for different devices and screen sizes
- Reformatting, resizing, and transcoding (e.g., compressing videos, generating thumbnails)
- Translating into different languages
- Featuring in promotional materials, marketing communications, and demonstrations of the Services
- Aggregating and analyzing in de-identified form for service improvement
- Detecting policy violations and protecting the safety of users
- Sublicensing to service providers strictly for the purposes above
7.4. License Granted to Other Users
You also grant each other user of the Services a worldwide, non-exclusive, royalty-free license to access your publicly-shared User Content through the Services and to use that content only as enabled by features of the Services (such as viewing, reacting, sharing within the platform, and embedded display). This license does not authorize others to use your content independently of the Services.
7.5. Duration of License
The license granted in Section 7.2 continues for a commercially reasonable period after you remove or delete the content from the Services, to allow for the propagation of deletion across our systems and backups. Server backup copies of deleted content are retained in inaccessible storage for up to 90 days before permanent deletion. You acknowledge that copies of content shared by others (such as reposts, screenshots, or external mentions) may persist outside our control.
7.6. Use for AI and Machine Learning
MediFinder may use de-identified and aggregated User Content to train, develop, evaluate, and improve internal artificial intelligence and machine learning models that power the Services (including search, matching, content moderation, and health features). MediFinder will not use your identifiable Health Data to train AI models without your specific consent. You may opt out of de-identified AI training use by emailing [email protected] with subject "AI Training Opt-Out".
7.7. No Third-Party AI Training Without Authorization
You may not use the Services or any content available through them (including provider profiles, reviews, posts, photos, or videos) to train any third-party AI or machine learning model without MediFinder's express prior written authorization. Such unauthorized use constitutes a material breach of these Terms.
7.8. Your Representations and Warranties for User Content
- You own or have all necessary rights, licenses, consents, and permissions to submit the content
- The content does not infringe any third-party intellectual property, privacy, publicity, or other right
- The content is accurate, lawful, and not misleading
- You have obtained valid consent from any identifiable person depicted in photos or videos
- You have obtained documented parental or guardian consent for any minor depicted
- The content complies with all applicable laws, including consumer protection, healthcare advertising, and data protection laws
7.9. Feedback
Any suggestions, feedback, ideas, or recommendations you provide regarding the Services become the exclusive property of Yeshan Healthtech, LLC. You assign to us all rights, title, and interest in such feedback, which we may use without any obligation of compensation, attribution, or confidentiality.
8. Provider-Specific Terms
If you are a Provider, additional terms apply as set out in our separate Provider Agreement. Key obligations include accurate credential verification, compliance with healthcare advertising regulations, professional handling of patient communications, and limits on responses to reviews. The Provider Agreement is incorporated by reference into these Terms.
9. Fees and Payment
9.1. Current Status — Free Services
At this time, the Services are offered free of charge to both users and Providers. There are no subscription fees, listing fees, transaction fees, or other payment obligations associated with current use of the Services.
9.2. MediFinder's Reserved Right to Introduce and Change Fees
MEDIFINDER RETAINS THE SOLE AND ABSOLUTE RIGHT, IN ITS SOLE DISCRETION, TO INTRODUCE, MODIFY, INCREASE, DECREASE, OR DISCONTINUE FEES, PAID FEATURES, SUBSCRIPTIONS, TRANSACTION-BASED CHARGES, OR ANY OTHER PAYMENT MECHANISM APPLICABLE TO ANY CATEGORY OF USER, INCLUDING BOTH END USERS AND PROVIDERS, AT ANY TIME.
This right extends to, without limitation:
- Introducing paid subscription plans for Providers (and creating multiple tiers with differentiated features)
- Introducing paid premium features for end users (such as priority consultation routing, enhanced search, AI-powered tools, or advanced filtering)
- Charging transaction fees, commissions, or referral fees for facilitated services
- Converting currently-free features into paid features
- Setting, changing, or removing prices, currencies, billing cycles, payment methods, and refund policies
- Creating, modifying, or discontinuing any paid plan, tier, or pricing structure
- Setting different prices for different regions, user categories, or time periods
9.3. No Vested Rights
The current free availability of the Services does not create any vested right, guarantee, or expectation of continued free access. You acknowledge that all currently-free features may become paid in the future, subject to the notice and acceptance procedures below. The free Service is offered as-is and may be modified or terminated at any time.
9.4. Notice and Acceptance of Future Fees
- Before introducing any fees that would affect your current use, we will provide at least 30 days' advance notice via email and in-platform notification
- The notice will specify the fee, applicable features or services, effective date, and your options
- You may decline future fees by closing your account or by ceasing use of the affected paid feature before the effective date
- Continued use of the affected paid feature after the effective date constitutes acceptance
- Free baseline features (if any are maintained) will remain available to declining users unless we discontinue the free tier with notice
9.5. Payment Terms (When Fees Apply)
When and if paid Services are introduced, the following apply:
- All fees are exclusive of applicable taxes unless stated
- Subscription fees are billed in advance for the applicable period
- Auto-renewal applies unless cancelled before the renewal date, with renewal reminders sent at least 7 days before annual renewals
- All fees are non-refundable except where required by mandatory consumer protection law
- EU consumers may have a 14-day right of withdrawal under Directive 2011/83/EU; this right may be waived once the digital service has begun if you have expressly consented
- Payment card details are handled exclusively by PCI-DSS compliant payment processors
- Disputes regarding fees must be raised within 30 days of the charge date
10. Intellectual Property
10.1. MediFinder's Intellectual Property
All content, design, software, source code, trademarks, logos, and other materials of the Services (excluding User Content) are owned by Yeshan Healthtech, LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.
10.2. Restrictions
You may NOT:
- Copy, modify, distribute, sell, or lease any portion of the Services
- Reverse engineer, decompile, or attempt to extract source code
- Use MediFinder trademarks or branding without prior written permission
- Create derivative works based on the Services
- Use any data mining, robots, scrapers, or similar automated extraction methods
- Aggregate, index, or republish data from the Services
- Use the Services or content to train AI/ML models without express written authorization
10.3. Copyright Infringement (DMCA and International)
Our Content & Copyright Policy describes detailed procedures for copyright infringement notices and counter-notices under the U.S. DMCA, EU Digital Services Act Article 16, Turkish Law No. 5651, and other applicable regimes. Notices should be sent to [email protected] with subject "DMCA Notice".
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
To the maximum extent permitted by law, MediFinder disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, including any warranty regarding:
- The accuracy, completeness, reliability, or quality of any User Content or Provider profile
- The qualifications, suitability, safety, or legality of any Provider
- The outcome of any healthcare service or treatment
- That the Services will be uninterrupted, error-free, secure, or free from viruses
- The accuracy or timeliness of any information provided
- Patient bookings, leads, revenue, ranking, or other commercial outcomes for Providers
11.1. Free Service Disclaimer
Because the Services are currently offered free of charge, you acknowledge and agree that MediFinder owes you no commercial duty of performance, no service-level guarantee, and no commercial expectation of uptime or feature availability beyond what is expressly stated. Free Service is provided as a courtesy and may be modified or discontinued at any time.
YOU USE THE SERVICES AT YOUR OWN RISK. Nothing in these Terms limits warranties that cannot be excluded by applicable law.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
MediFinder will NOT be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including:
- Loss of profits, revenue, goodwill, or anticipated savings
- Loss or corruption of data
- Personal injury or property damage of any kind
- Damages arising from any medical service, treatment, advice, or outcome by any Provider
- Damages arising from User Content or third-party content
- Damages arising from automated content moderation decisions
MediFinder's aggregate liability is limited to the greater of: the total amount you have paid to MediFinder in the 12 months preceding the event, or USD 100. For users of free Services who have paid nothing, liability is capped at USD 100. These limitations do not apply to liabilities that cannot be limited by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Yeshan Healthtech, LLC, its affiliates, officers, directors, employees, agents, suppliers, and licensors from any claims arising out of or related to:
- Your access to or use of the Services
- Your User Content, including any photos, videos, or other media you upload
- Your violation of these Terms, our Privacy Policy, Acceptable Use Policy, Community Guidelines, Content & Copyright Policy, or any applicable law
- Your violation of any third-party right (including intellectual property, privacy, or publicity rights)
- Claims that your User Content contains unauthorized depiction of any person, including minors
- For Providers: your provision (or failure to provide) of any healthcare service
- For Providers: any claim, complaint, or proceeding brought by a patient against you
- Any misrepresentation made by you
14. No Partnership, Agency, or Employment
Nothing in these Terms or your use of the Services creates a partnership, joint venture, agency, franchise, employment, or fiduciary relationship between you and MediFinder. Providers using the Services are independent businesses or professionals; MediFinder does not employ Providers and is not party to the patient-provider relationship.
15. Suspension and Termination
15.1. By MediFinder
We may suspend or terminate your access at any time in our sole discretion, with or without notice, if:
- You violate these Terms or any incorporated policy
- Your account poses a security risk or is involved in suspected fraud
- Required by law, court order, or regulatory directive
- Your Provider license has been suspended, revoked, or restricted
- Your behavior poses a risk to other users or MediFinder
- You have not paid applicable fees when due (if and when paid Services are active)
- We discontinue any part of the Services
15.2. Effect of Termination
- Your right to access the Services ends immediately
- User Content may be retained or removed at our discretion, subject to data retention policies
- Provisions that should survive (Sections 7, 11, 12, 13, 14, 17-25) shall survive
- Your obligations to MediFinder shall survive
16. Account Inactivity
- Accounts inactive for 24 consecutive months may be marked for deactivation
- We will send at least one email warning at least 30 days before deactivation, where we have a valid email address
- Deactivated accounts may have content removed and data deleted in accordance with our Privacy Policy
- This Section does not apply to active paid accounts (when paid Services are introduced)
17. Modifications to the Services and Terms
- Material changes will be notified via email and in-platform notifications at least 30 days before taking effect
- Updated versions will be published at medifinder.com/terms
- For significant changes affecting your rights, renewed acceptance may be required
- If you do not agree, you must stop using the Services and you may close your account
17.1. Service Modifications and Discontinuation
MediFinder may modify, suspend, or discontinue any aspect of the Services (including any feature, region, or category of users) at any time, in our sole discretion. We will provide reasonable advance notice of material changes that adversely affect active users, except in urgent situations such as security incidents, legal compliance, or abuse prevention. We may also offer data export tools where required by law.
18. Third-Party Services and Links
The Services may contain links to third-party websites or services. We are not responsible for their content, privacy practices, or services. Use of third-party services is governed by their own terms.
19. Force Majeure
MediFinder shall not be liable for any failure or delay in performance caused by events beyond reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, pandemics, government actions, internet outages, or labor disputes.
20. Assignment
You may not assign these Terms without our prior written consent. MediFinder may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
21. Severability and Waiver
If any provision is held invalid, the remaining provisions shall remain in full force. Our failure to enforce any right is not a waiver of that right or any other right.
22. Entire Agreement
These Terms, together with our Privacy Policy, Acceptable Use Policy, Community Guidelines, Content & Copyright Policy, Provider Agreement (if applicable), Consumer Health Data Privacy Notice (for Washington residents), KVKK Aydınlatma Metni (for Turkish residents), and any executed Business Associate Agreement, constitute the entire agreement between you and MediFinder regarding your use of the Services.
23. Governing Law
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws principles. The UN Convention on Contracts for the International Sale of Goods does not apply.
24. Antitrust Compliance (Provider Users)
If you are a Provider or person in the healthcare industry, you acknowledge and agree that you will NOT use the Services to:
- View, access, or use price, availability, or competitive information about other Providers for any purpose other than your own legitimate market awareness
- Establish, attempt to establish, or enforce any agreement or coordination of prices, services, quantities, or markets among Providers
- Engage in price-fixing, market allocation, group boycotts, or other anti-competitive conduct
- Combine data obtained from the Services with other datasets to create or enhance user profiles, risk scores, or marketing lists, except as expressly permitted by a separate written agreement with MediFinder
Violation of this Section is grounds for immediate termination and may expose you to civil and criminal antitrust liability under U.S., EU, Turkish, and other applicable laws.
25. Dispute Resolution (US Residents)
THIS SECTION APPLIES TO US RESIDENTS. NON-US RESIDENTS — SEE SECTION 26.
25.1. Mandatory Arbitration
Any dispute shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Palm Beach County, Florida, or by video conference, in English.
25.2. Class Action Waiver
YOU AND MEDIFINDER AGREE THAT ANY CLAIM SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
25.3. Small Claims Court Exception
Either party may elect to have qualifying claims heard in small claims court located in Palm Beach County, Florida, instead of arbitration.
25.4. Opt-Out
You may opt out of arbitration within 30 days of first accepting these Terms by emailing [email protected] with subject "Arbitration Opt-Out".
26. Dispute Resolution (Non-US Residents)
For users outside the United States, disputes shall be resolved in the state or federal courts located in Palm Beach County, Florida, except where mandatory consumer protection laws of your country grant non-waivable rights to local courts.
EU consumers may also use the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr/.
Turkish consumers may exercise rights under Tüketicinin Korunması Hakkında Kanun (Law No. 6502), including the right to apply to Tüketici Hakem Heyeti or Tüketici Mahkemesi.
27. Language
This document is published in English as the master version. Translations are provided for convenience. Where local law requires a translation to be legally binding, the local-language version shall govern for the affected jurisdiction. In all other cases, the English version prevails in case of inconsistency.
